for EchoConvert

TERMS OF SERVICE

Echo Convert, LLC

  1. Acceptance

By accessing or using the website or services of Echo Convert, LLC, you agree to these Terms of Service.

  1. Services

Echo Convert provides AI workflow automation, AI agents, messaging systems, voice agents, ringless voicemail systems, CRM integrations, and related technology services.

Services may include access to white labeled third party platforms.

We reserve the right to modify or discontinue services at any time.

  1. Client Responsibilities

Clients agree to:

• Use services in compliance with all laws
• Obtain required consent before sending SMS or voice communications
• Maintain proper documentation of consent
• Not upload regulated data without authorization
• Not use services for unlawful, deceptive, or abusive purposes

  1. Communications Compliance

Clients are solely responsible for compliance with:

• Telephone Consumer Protection Act
• CAN SPAM Act
• Federal Communications Commission rules
• Carrier messaging rules
• A2P 10DLC registration requirements
• State telemarketing laws

Clients agree to indemnify Echo Convert from any fines, penalties, or claims arising from improper messaging practices.

  1. AI Output Disclaimer

AI generated responses, transcripts, or automations may contain errors or inaccuracies.

Echo Convert makes no guarantee regarding:

• Accuracy
• Business results
• Revenue outcomes
• Continuous uptime
• Error free operation

Clients are responsible for reviewing AI outputs before relying on them.

  1. Payments

Fees are outlined in client agreements.

Payments are processed through Stripe.

Failure to pay may result in suspension.

Unless otherwise agreed in writing, fees are non refundable.

  1. Intellectual Property

Echo Convert retains ownership of proprietary systems, workflows, configurations, and templates.

Clients retain ownership of their business data.

  1. Confidentiality

Each party agrees to maintain confidentiality of non public information.

  1. Limitation of Liability

To the maximum extent permitted by law:

Echo Convert shall not be liable for indirect, incidental, special, consequential, or punitive damages.

Total liability shall not exceed the total fees paid by the client in the twelve months preceding the claim.

  1. Indemnification

Clients agree to indemnify and hold Echo Convert harmless from claims arising out of:

• Violation of communication laws
• Failure to obtain consent
• Misuse of services
• Regulatory violations
• Reliance on AI outputs

  1. Termination

We may suspend or terminate services for:

• Non payment
• Legal violations
• High risk or non compliant messaging behavior

  1. Arbitration and Class Action Waiver

Any dispute arising under these Terms shall be resolved by binding arbitration in the State of Tennessee.

You waive the right to participate in any class action or class arbitration.

  1. Governing Law

These Terms are governed by the laws of the State of Tennessee.

  1. Entire Agreement

These Terms, together with any signed agreement, constitute the entire agreement between parties.
